I have a wealth of experience in assisting buyers and sellers in mergers and acquisitions, sales of stock and assets, and leveraged buyouts, primarily in small and middle market transactions between $250,000 and $25 million in value. I work closely with clients and their accountants to ensure that each client obtains the results it expects from each transaction.


I often advise clients on private placements of stock, partnership interests and limited liability company interests, helping them raise money for all types of businesses. In these matters, my focus is on aiding clients in complying with the securities laws, and on crafting offering documents that fully describe the investment opportunity and provide protection from liability.

business contracts - drafting and review

A properly drafted contract is the best defense against litigation and avoiding costly project delays. I have experience negotiating and drafting construction agreements using the major industry form contracts, and when needed, preparing customized contracts to meet the needs of a particular client or project. We call upon this experience to negotiate and draft contracts for our clients that appropriately protect their interests while encouraging cooperation among project participants.

Additionally, I have experience in counseling clients on contract administration issues following completion of the drafting process. I work with clients through every step of the process to help identify, avoid, and when necessary, solve problems as they arise.
